Bob Wilson, a partner in Fulbright & Jaworski L.L.P.'s Corporate and International Departments, divides his time between the firm's Munich and Houston locations. He regularly advises U.S. and European clients on a diverse range of international business transactions and regulatory compliance matters.
In International/European matters, Mr. Wilson has:
- Represented U.S. companies regarding European and other international data protection law compliance matters
- Represented European companies regarding compliance with U.S. privacy and data protection matters
- Assisted U.S. companies regarding European merger control and securities law compliance matters
- Represented U.S. companies in the acquisition of assets and stock of companies located in various European countries
- Represented U.S. companies in the negotiation and formation of European joint ventures in Germany and other European countries
- Advised U.S. companies in establishing subsidiary structures in Europe
- Represented U.S. companies in the formation of European distributorship, licensing and business collaboration arrangements
- Represented German and European companies in the purchase and disposition of U.S. companies
- Advised European companies regarding U.S. product liability risk management matters
In the area of U.S. Corporate/Securities, Mr. Wilson has:
- Served as principal outside counsel to publicly-held companies in connection with general corporate and securities matters, including corporate governance and Sarbanes-Oxley related matters
- Represented corporations in initial public offerings and other public equity and debt securities offerings
- Advised corporations in connection with mergers and acquisitions and other business combination transactions
- Represented public and private companies as well as venture capital firms in venture capital financing transactions
- Represented corporations in connection with NASDAQ delisting proceedings and hearings
